DRAFT — NOT LEGAL ADVICE. This document is a working draft prepared for review by a licensed attorney. It has not been reviewed or approved by counsel and must not be published or relied upon until it is. Bracketed items like [COMPANY LEGAL NAME] are placeholders. See the attorney review checklist (`docs/legal-research/ATTORNEY-REVIEW.md`).
This Contractor Agreement is between [COMPANY LEGAL NAME] ("JobDeposit," "we," "us") and the trade business accepting it ("Contractor"). It supplements the Terms of Service, Payment & Funds-Holding Terms, Verification Badge Disclaimer, and Lead Generation Terms.
Contractor is an independent business entity, controls the manner and means of its work, sets its own prices, and is solely responsible for its workers, subcontractors, taxes, wages, workers' compensation, and benefits. Nothing in this Agreement creates an employment, partnership, joint venture, franchise, or agency relationship with JobDeposit.
license, insurance, business)2.1 Service-area eligibility. Contractor may onboard and offer services only in supported United States jurisdictions (SERVICESTATES) and eligible service ZIP codes (zips) for supported remodeling trades (roofing, tile, flooring, kitchenbath, painting).
2.2 Three required verification checks. To qualify for onboarding, receive matched homeowner leads, link a payout bank account, or receive milestone payments, Contractor must submit and maintain current records that pass all three automated or manual verification checks:
license): an active, valid contractor license or registration (licenseNo) issued by an eligible state (licenseState) covering the trades and ZIP codes Contractor serves.insurance): an active commercial general liability policy / Certificate of Insurance (insurancePolicy, minimum $[1,000,000] per occurrence) that is current and not expired, plus workers' compensation and any statutory contractor bond where required by state law, naming [JobDeposit as certificate holder / additional insured — ATTORNEY: confirm state insurance requirements].business): legal business name (businessName), entity registration, and a valid federal Employer Identification Number (ein in XX-XXXXXXX format) verified via IRS TIN / KYB matching.2.3 Verification providers and re-verification. We verify these credentials against state licensing boards, insurance/COI verification providers, KYB/TIN-matching services, and (with consent where required) background-check providers under the FCRA. Verification checks carry an expiration date (expiresAt) and are periodically re-evaluated.
2.4 Duty to update and effect of lapse. Contractor must notify us within 5 days of any license or insurance expiration, suspension, revocation, claim, or change in business ownership. Any failed check or expired insurance/license immediately suspends Contractor's Verified Pro badge, lead delivery, bank account linking, and milestone payment payouts.
3.1 All three checks required. The JobDeposit Verified Pro trust badge (badge) is awarded only when all three onboarding checks (license, insurance, and business) have status "verified". If any check is "pending", "failed", or expired, the badge is not granted or is automatically revoked.
3.2 Scope of badge. The badge indicates only that Contractor's submitted license, insurance, and business EIN credentials passed our verification checks as of the verification date. The badge is not a guarantee, warranty, endorsement, or license, and Contractor may not represent it as such or display it off-Platform except as we expressly authorize in writing. See the Verification Badge Disclaimer.
Contractor will: perform work in a good and workmanlike manner per the Project Contract, building codes, and manufacturer specifications; obtain all required permits and municipal inspections; provide all legally required home-improvement contract terms, notices, and statutory cancellation forms; not request or collect deposits outside the Platform's held-deposit workflow or above state legal limits; not perform work outside its verified license classification or service area; and comply with EPA lead-safe (RRP), OSHA, and applicable safety regulations.
For each milestone task, Contractor must submit genuine, current, unedited photos taken at the job site through the Platform's capture flow. Stock, reused, duplicate, off-site, or AI-generated images are strictly prohibited. Contractor consents to automated AI photo inspection, EXIF timestamp and GPS distance checks, perceptual-hash duplicate detection, and human escalation review as described in the AI Photo Verification Disclaimer.
6.1 Verified badge required before bank linking. Contractor must first hold an active Verified Pro badge (badge === true) before linking a payout bank account.
6.2 Approved business bank account rule. Contractor must onboard with our payment Processor ([PAYMENT PROCESSOR, e.g., Stripe, Inc.]) and link a valid business bank account with a 9-digit ABA routing number whose account business name matches Contractor's verified legal business name (businessName). Personal bank accounts or accounts with a non-matching business name are rejected (status: "rejected").
6.3 Payouts blocked until business bank account is approved. Even after a milestone passes AI photo verification (or senior human review) and is marked "released", daily milestone payment payouts (paid_out) are blocked unless and until Contractor has both an active Verified Pro badge and an "approved" business bank account on file. While blocked, released milestone funds remain held until an approved business bank account is linked.
6.4 Dispute holds, transfer reversals, and ACH recovery authorization. Contractor agrees to the Payment & Funds-Holding Terms and Dispute Resolution Policy. If a Homeowner files a dispute after a milestone payment is released or paid out, or if a release resulted from fraud, error, or false photo evidence, Contractor authorizes JobDeposit and the Processor to reverse the transfer (reverseTransfer), debit Contractor's connected account balance, offset future milestone payments, and initiate NACHA-compliant ACH debits against Contractor's approved business bank account to recover the disputed amount, refunds, chargebacks, and fees owed. [ATTORNEY: finalize standalone NACHA ACH debit authorization language.]
6.5 Reserves. We and the Processor may maintain a rolling or project-level reserve on new or elevated-risk Contractor accounts.
Homeowner lead matching, response rules, and credits are governed by the Lead Generation Terms, incorporated here. Platform fee on released milestone payments: [PLATFORM FEE, e.g., X%]. Lead fees: [LEAD PRICING]. We will give at least [30] days' notice of fee changes.
By providing a mobile phone number and accepting this Agreement or checking the SMS consent box, Contractor consents to receive recurring automated and prerecorded calls and text messages from JobDeposit at that number regarding leads, milestone verifications, retake requests, disputes, payouts, and account alerts, and (if separately opted in) marketing messages. Consent is not a condition of purchase. Reply STOP to opt out. See the SMS Terms.
Contractor will contact Homeowners only regarding the specific project or lead delivered through the Platform, honor do-not-contact requests immediately, and comply with the TCPA, federal and state telemarketing laws, and home-solicitation rules. See the Acceptable Use Policy.
Contractor will defend, indemnify, and hold harmless JobDeposit and its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to bodily injury, property damage, defective or incomplete work, subcontractor or worker wage/injury claims, license or permit violations, or Contractor's breach or negligence.
For [12] months following a Platform introduction to a Homeowner, Contractor will not solicit or accept payment outside the JobDeposit held-deposit and milestone-payment workflow for work scoped or introduced through the Platform for that Homeowner. [ATTORNEY: confirm enforceability by state.]
Either party may terminate this Agreement on notice; JobDeposit may suspend or terminate Contractor's account immediately for fraud, photo manipulation, safety concerns, verification or insurance lapse, or excessive disputes/chargebacks. Active project obligations, held deposit and milestone payment rules, and clawback/recovery authorizations survive termination.
Disputes between Contractor and JobDeposit are governed by Section 14 (binding individual arbitration and class-action waiver) of the Terms of Service, administered under commercial arbitration rules.
